Frequently asked questions

Why do Iron Fortress and Free Cash Flow fail for TeraWulf?

On the numbers as they stand. At June 30, 2026 the company carried $5.7B of face debt and $7.90B of total liabilities against $147.3M of book equity and a $2.36B accumulated deficit, with most cash restricted at project subsidiaries and a further $3.5B raise planned. Operating cash flow was -$123M in fiscal 2025 and adjusted EBITDA was negative through H1 2026, while quarterly capex runs near 19x quarterly revenue. The mitigants (no maturity wall before 2030, project debt designed as non-recourse beyond a completion guarantee, spending pre-funded by signed leases) explain survival, not a pass.

How can the verdict be Selective Positive with two failed pillars?

Because the pillars grade the present and the verdict prices the contracts. The signed portfolio (~839 MW, including a direct 20-year Anthropic lease and Google-backstopped Fluidstack leases) implies $1.4-1.9B of revenue at 70-85% NOI margins at stabilization, against an enterprise value near $8.5B after a 61% drawdown, roughly replacement cost for the contracted MW with the pipeline free. Morgan Stanley's bear case of $17.50 sits above the $11.54 reference price. The report is explicit that the reader is underwriting two years of construction and capital-market access, which is what the failed pillars are measuring.

Why is the TeraWulf moat only a partial?

The moat is the portfolio and the paper: powered, permitted sites that cannot be manufactured quickly, incumbency that compounds through cheaper financing, and the Google backstop as scarce credit enhancement. Its limits are structural: TeraWulf is a landlord whose two largest relationships are an intermediary (Fluidstack, ~43% of contracted MW) and a single direct tenant (Anthropic, ~48%), the end customers can build or lease elsewhere, and the backstop structure is now industry-standard rather than proprietary. Nothing compounds except site control.

One pass, two partials, two fails: the business is not yet safe, and the contracts are not yet priced.

Why does Sunrise pass?

Hyperscaler and AI-lab capex is running at a combined $700B-plus annual pace on aggregated 2026 estimates, and the binding constraint is energized capacity, not chips or capital. TeraWulf's ~839 MW contracted and ~2.8 GW platform sits directly in that shortage, validated by a Google credit backstop and a direct Anthropic lease, and even the legacy mining stub earns demand-response credits ($14.1M in Q1 2026). Demand is the one question this name does not have to answer.

Why is Leadership a partial?

Origination is top of sector: Nautilus created and sold at a stated 3.4x, the Google recognition-agreement structure invented here and since copied by peers, a direct Anthropic lease within a year of the first HPC tenancy, and ~$8B of financings. Governance is the debit: fiscal 2025 pay of $39.4M (CEO) and $30.1M (CTO) with bonuses at 10-16x stated targets described as discretionary, $185.4M of H1 2026 stock compensation, persistent insider selling with no open-market purchases by the top two, a related-party ground lease, and delivery still mostly ahead (102 MW earning of ~839 MW contracted).

Why does Iron Fortress fail, and what fixes it?

$5.7B of face debt, $7.90B of total liabilities, $147.3M of equity, ~$1.8B of warrant liabilities swinging the P&L, parent unrestricted cash of ~$300M as recently as March 2026, and an explicit need for a further ~$3.5B raise. It upgrades to PARTIAL when delivered MW covers consolidated interest from operating cash flow, and toward PASS when the 2030 maturities are termed out against stabilized, rent-paying assets.

Why does Free Cash Flow fail, and what fixes it?

Operating cash flow of -$123.2M in fiscal 2025, adjusted EBITDA of -$23.1M (FY2025) and -$22.4M (H1 2026), and interest expense of $56.4M in Q2 2026 against $44.8M of revenue. The fix is mechanical and dated: each delivered 100 MW adds roughly $160M of annualized rent at ~85% site margins, and two consecutive quarters of positive operating cash flow would force a re-grade. CB-4 rent from H2 2026 and CB-5 from early 2027 are the first tests.
