Frequently asked questions
Is Unicommerce eSolutions a buy at current prices?
DalalBytes rates Unicommerce eSolutions Selective Positive at 61/100. India's e-commerce middleware leader processed about 1 billion order items a year at an annualised run rate, earned Rs 20.5 crore PAT on FY26 revenue of Rs 204 crore, generated Rs 45 crore of free cash flow, and holds Rs 92.6 crore of cash and bank balances against about Rs 9 crore of borrowings. The selective part: core Uniware growth is about 13%, the Shipway acquisition diluted consolidated gross margin from 69.4% to 54.2%, and FII and DII holdings have fallen to 0.02% and 2.38%.
What are Unicommerce eSolutions' FY2029 price targets?
DalalBytes' FY2029 targets for Unicommerce eSolutions are bear Rs 45, base Rs 115, and bull Rs 210, from a Rs 82.90 reference price. Bear: 9% revenue CAGR, 9.0% PAT margin, 22x exit. Base: 17% CAGR, 12.5% margin, 32x exit, EPS about Rs 3.56. Bull: 25% CAGR, 15.0% margin, 40x exit. FY2029 is the year ending March 2029.
What is the Shipway acquisition and why does it matter for Unicommerce?
Unicommerce bought 42.76% of Shipway Technology, a courier aggregation and shipping automation platform, in December 2024 for Rs 68.4 crore in cash, and the remaining 57.24% in March 2025 through a share swap of 60,33,189 shares. Shipway reached an annualised revenue run rate of about Rs 100 crore by Q3 FY26 and is PAT profitable, but its courier pass-through economics cut consolidated gross margin from 69.4% in FY25 to 54.2% in 9M FY26 and added roughly Rs 8 to 10 crore a year of non-cash amortisation, which is why FY26 revenue grew 51.6% while PAT grew only 16.5%.
What is the verdict on Unicommerce eSolutions?
The core business is genuinely good and the consolidated headline flatters it. Uniware processed 950 million order items in FY25 and crossed a 1.036 billion annualised run rate in February 2025, holds 1,039 enterprise clients, and has been PAT positive every year since FY22. FY26 operating cash flow was Rs 47 crore and free cash flow Rs 45 crore. Against that: FY26 revenue growth of 51.6% is mostly Shipway consolidated for a full year, core Uniware grew 12.8% in Q1 FY27 after 8.1% in Q3 FY26, reported operating margin fell to 10.6% in Q1 FY27 on front-loaded growth investment, and adjusted EBITDA fell 14.5% year on year in that quarter. At Rs 82.90, 23% below the Rs 108 IPO price and about 65% below the August 2024 listing print, the de-rating has done most of the work: 43.9x trailing earnings, about 4.6x FY26 sales, and a 4.8% free cash flow yield.
How did Unicommerce eSolutions start?
IIT Delhi classmates Ankit Pruthi, Karun Singla and Vibhu Garg founded Unicommerce in 2012 (Manish Gupta joined as a fourth co-founder in 2013) to own the layer that reconciles orders, inventory and fulfilment for sellers listing on many marketplaces at once. Jasper Infotech, Snapdeal's parent, acquired it in March 2015 in a cash and stock deal reported at about $40 million. The founders left in August 2017 at the end of their lock-in; Kapil Makhija, who had joined in early 2015 from A. T. Kearney, became CEO in July 2017 and still runs it. When Snapdeal nearly collapsed in 2017 and explored selling Unicommerce (a sale to Infibeam fell through in 2018), the business ran independently, stayed profitable on an adjusted EBITDA basis, and never took rescue capital. AceVector, the renamed group, listed it in August 2024: a pure offer for sale at Rs 108, subscribed 168.3x, listing at Rs 235 on the NSE. The company received no IPO money.
What does Unicommerce eSolutions sell?
Three platforms that map the full order journey. Uniware is the core: order, inventory, warehouse and omnichannel management across marketplaces, D2C webstores, quick commerce and offline stores, with 285+ integrations and 11,700+ connected warehouses and stores. Shipway is courier aggregation and shipping automation (15+ courier partners, about 29,000 pin codes), bought in two steps across December 2024 and March 2025 and now at about a Rs 100 crore annualised revenue run rate. Convertway, Shipway's marketing automation arm, covers SMS and WhatsApp campaigns and AI chatbots, extended in 2026 by the Catalyst AI voice agent, UniBot and ShipSense AI courier allocation. Named clients include Mamaearth, FabIndia, Lenskart, boAt, SUGAR Cosmetics, Cello, Timex and Urban Company, and the top 10 Uniware clients were a falling 12.6% of Uniware revenue in 9M FY26.
What do the financials show?
Revenue from contracts of Rs 59.0 crore, Rs 90.1 crore, Rs 103.6 crore, Rs 134.8 crore and Rs 204.3 crore across FY22 to FY26, with PAT of Rs 6.0 crore, Rs 6.5 crore, Rs 13.1 crore, Rs 17.6 crore and Rs 20.5 crore. Adjusted EBITDA rose from Rs 28.4 crore in FY25 to Rs 43.9 crore in FY26, but reported margins tell the mix story: operating margin of 20% in FY25 fell to 17% in FY26 and 10.6% in Q1 FY27, consolidated gross margin fell from 69.4% to 54.2% in 9M FY26, and ROCE fell from about 31% to about 21% as the Shipway share swap lifted net worth from Rs 70 crore to Rs 193 crore. Q1 FY27 revenue of Rs 51.4 crore grew 14.3% (Uniware +12.8%, Shipway +16.8%) with PAT of Rs 4.7 crore helped by a small tax credit. Cash conversion is the standout: debtor days fell from 47 to 20 across FY24 to FY26.
Who runs Unicommerce eSolutions now, and is governance clean?
Kapil Makhija has been MD and CEO since July 2017, with a long-tenured bench (CTO Bhupinder Garg since October 2017, CFO Anurag Mittal since December 2022, CRO Gaurav Juneja added in FY26) and an independent chairman in Manoj Kohli. Disclosure quality is good for a small cap, including quarterly KPIs. The deductions are structural: promoter holding fell from 39.42% in September 2024 to 36.01%, by dilution from the Shipway share swap rather than selling (AceVector held 29.11 million shares in June 2026, with no pledging reported), Kunal Bahl and Rohit Bansal sit on the board for the AceVector group, a September 2025 preferential issue was reported as a Rs 20 crore raise from the parent, and AceVector itself listed in October 2026 and fell on debut. SoftBank's SB Investment remains a 14.39% public holder.
What is Unicommerce eSolutions worth?
At Rs 82.90: P/E 43.9x on TTM EPS of Rs 1.90, price-to-sales about 4.6x, P/B about 4.8x, EV about Rs 848 crore after Rs 92.6 crore of cash. On a DalalBytes ex-amortisation FY26 EPS estimate of about Rs 2.27 the multiple is about 37x. Listed Indian software comparators sit in the same band (RateGain about 42x, MapmyIndia about 37x), so the scarcity premium is gone, but 44x reported earnings still prices a full multiple for 13% core growth and a falling reported margin. The cash case: about 19x FY26 free cash flow at EV. FY2029 scenarios from FY26 revenue of Rs 204.3 crore: bear Rs 45 (9% CAGR, 9.0% PAT margin, 22x), base Rs 115 (17% CAGR, 12.5% margin, 32x, EPS about Rs 3.56), bull Rs 210 (25% CAGR, 15.0% margin, 40x). Base upside of about 39% is what Selective Positive means here.
What are the key risks?
Core deceleration first: if Uniware stays at high single to low double digit growth, the hybrid multiple compresses toward the bear case, which only assumes the Q1 FY27 run rate persists. Then mix: Shipway's courier pass-through may permanently reprice what this company is. The investment phase could stretch beyond H1 FY27 without the promised leverage. Institutional sponsorship is gone (FII 0.02%, DII 2.38%, public 61.60%), so the register is retail-heavy and the stock has fallen about 38% in a year. Structural risks: fulfilled-by-marketplace programmes at Amazon and Flipkart attack the transaction layer Uniware monetises, rivals Increff, Vinculum, EasyEcom and Anchanto compete for the same budgets, and about Rs 164 crore of the asset base is Shipway intangibles and goodwill that would impair if Shipway disappoints.
