Frequently asked questions
How does Expleo Solutions score on the five pillars?
Expleo Solutions passes two of five pillars: iron fortress and free cash flow, with sunrise, leadership and moat grading partial. Borrowings are Rs 8 crore against net cash of about Rs 353 crore, and free cash flow was Rs 172 crore in FY25 and Rs 117 crore in FY26. The partials reflect slow 7% three-year growth, AI pressure on testing, and parent control.
Why does leadership only grade partial for Expleo Solutions?
DalalBytes grades Expleo's leadership partial because operational delivery is competent (the 2023 group merger was integrated cleanly, ROE is about 19%, debtor days fell to 76) but capital stewardship favours the group: loans to a French group entity peaked at about Rs 472 crore, the FY26 dividend was cancelled on July 9, 2026 then reversed on July 28, and a Rs 2,800 crore group-lending mandate is now on the ballot.
Pillar 1: Is the sector a sunrise? (PARTIAL)
Assurance demand is structural: regulated banks and insurers ship ever more software, and Q1 FY27 revenue rose 12.3% to Rs 292 crore. But independent testing is a mature, automatable service line, the three-year revenue CAGR is only about 7%, operating margin has thinned from 22% in FY23 to about 15%, and the core pools (BFSI at roughly three-quarters of revenue, Europe at roughly half, on the last detailed mix) grow slowly. A tailwind exists; the company's share of it is contested and its pricing faces AI pressure. PARTIAL.
Pillar 2: Can the leadership execute? (PARTIAL)
Delivery earns credit: four group companies were merged in from April 2023 without breaking the P&L, ROE held near 19%, debtor days improved from 94 to 76, and PAT grew 20.1% in FY26. Stewardship does not: an erratic dividend record capped by the July 2026 cancel-then-reverse sequence, group loans that peaked at about Rs 472 crore, a Rs 24 crore management fee in FY26, and the pending Rs 2,800 crore lending mandate. Competent inside the fence; the fence is the group's. PARTIAL.
Pillar 3: Does a moat protect returns? (PARTIAL)
Twenty-eight years of BFSI testing trust, roughly 210 active clients, top 5 concentration of only about 31%, and a group channel supplying about 30% of revenue make incumbency genuinely sticky in regulated programmes. But there is no pricing power and no irreplaceable asset: contracts are contestable by every large IT firm, and structured testing is exactly what AI tooling commoditises fastest. Management's claim that about 15% of revenue is AI-influenced is the start of a possible new moat, not yet evidence. PARTIAL.
Pillar 4: Is the balance sheet a fortress? (PASS)
Borrowings of Rs 8 crore at March 2026 against reserves of Rs 761 crore, and net cash of about Rs 353 crore at June 2026, about 26% of the market cap. The company absorbed margin compression and the Labour Codes item without borrowing and funded the Rs 110 per share dividend internally. The warning is explicit: cash has been lent to the group in size before, and the October 30, 2026 vote decides whether the fortress keeps its gate closed. On the balance sheet that exists today, PASS.
Pillar 5: Does the free cash flow show up? (PASS)
Operating cash flow of Rs 179 crore in FY25 and Rs 119 crore in FY26 against PAT of Rs 103 crore and Rs 124 crore, with Screener free cash flow of Rs 172 crore and Rs 117 crore. Conversion at or above 100% of operating profit for two straight years, with debtor days improving. The deductions: FY23 conversion was poor (Rs 23 crore of operating cash flow against Rs 134 crore of PAT), and generated cash is only minority value if it is not lent away. On generation, PASS.
What would change the grade?
Leadership and Iron Fortress improve in substance if the Rs 2,800 crore proposal is rejected, lapses, or passes only in a far smaller, time-bound form with loan-by-loan disclosure; leadership downgrades if large group lending resumes. Sunrise and Moat upgrade if double-digit growth is delivered for two full years with AI-led assurance as disclosed revenue. Free Cash Flow downgrades if conversion falls back toward FY23 levels.
